Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Index Industries LLC (“Index Industries,” “we,” “us,” or “our”). They apply to indexindustries.com and any content, features, or materials we make available through it (the “Site”). If you do not agree to these Terms, do not use the Site.

The Site is provided for general informational purposes about Index Industries and its work. It does not enable you to open an account, transact, or purchase any product or service. Any products we may reference are described for information only and may be offered, if at all, separately and under their own terms.

Nothing on the Site is, or should be construed as, an offer or solicitation to buy or sell any security, token, digital asset, or other financial instrument, nor as investment, financial, legal, tax, or accounting advice. Nothing on the Site is a recommendation to enter into any transaction. Any offering of securities or other regulated products will be made only through definitive offering materials to eligible persons in accordance with applicable law.

You may use the Site only if you can form a binding contract with Index Industries and are not barred from doing so under applicable law. The Site is not directed to anyone under the age of 18, and we do not knowingly permit their use of it.

You agree not to:

• attempt to gain unauthorized access to the Site, its servers, or any related systems;
• interfere with or disrupt the integrity or performance of the Site, including by introducing malware or automated scraping that burdens our infrastructure;
• copy, reproduce, republish, or exploit any part of the Site except as expressly permitted; or
• use the Site to impersonate Index Industries or misrepresent your affiliation with us.

The Site and its contents — including text, graphics, logos, the Index Industries name and marks, layout, and design — are owned by or licensed to Index Industries and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your personal, non-commercial use. No other rights are granted.

The Site may link to third-party websites and services that we do not control, including our waitlist and product pages hosted elsewhere and the sites of the firms referenced on the Site. We are not responsible for the content, policies, or practices of any third party, and your use of their services is governed by their own terms.

The Site may contain forward-looking statements about our plans, products, and expectations. These are not guarantees; actual results may differ materially, and we undertake no obligation to update them.

The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or that its content is accurate, complete, or current.

To the fullest extent permitted by law, Index Industries and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Site, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Index Industries and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.

We may modify the Site or these Terms at any time. Changes are effective when posted, and the “last updated” date will reflect the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of [governing law state], without regard to its conflict-of-laws rules. The courts located in [venue] will have exclusive jurisdiction over any dispute arising from these Terms or the Site, and you consent to their jurisdiction.
